MCBASIC — END USER LICENSE AGREEMENT Mac App Store edition Draft version 0.2 — revised 3 October 2026 Effective date (subject to final adoption): 3 October 2026 Publisher: QBeat Business address: 7 Temasek Boulevard, #12-07 Suntec City Tower One Singapore 038987 Email for questions, support, complaints and claims: [CONTACT_EMAIL] Telephone: [CONTACT_TELEPHONE] Application Privacy Notice: [APPLICATION_PRIVACY_NOTICE_URL] 1. Agreement and scope This agreement (the "EULA") governs the copy of McBasic you obtain through the Mac App Store, including its editor, compiler, accompanying development tools, first-party runtime, documentation and updates supplied under this EULA (together, "McBasic"). "Publisher" means the person or entity identified above; "you" means the person or organization entitled to use that copy. Review this EULA before acquiring McBasic. If you do not accept it, do not acquire or use McBasic; any statutory cancellation or refund rights remain available. A person accepting for an organization must have authority to do so. The specific Apple provisions in section 15 form part of this agreement. 2. License to use McBasic The Publisher gives you a nonexclusive, nontransferable license to use McBasic on compatible Apple-branded devices you own or control, within the Usage Rules of the Apple Media Services terms applicable to your purchase. Associated accounts may use it through permitted Family Sharing or volume purchasing. You may use McBasic within the features and purposes allowed by your edition. Commercial distribution requires the entitlement described in section 4. McBasic remains the property of the Publisher and its licensors. Your projects are addressed separately in section 4. 3. Purchases, duration and updates The Mac App Store offer presented before purchase identifies the price, paid features and whether the entitlement is a perpetual license or a subscription. This EULA does not itself create a subscription or authorize additional charges. A perpetual license grants continuing use of the licensed version, subject to section 13. It does not promise every future major version or optional paid service at no extra cost. If a subscription is offered, its duration, renewal, price and cancellation conditions must be disclosed before purchase; access to subscribed features lasts for the paid entitlement period. Cancellation and payment management follow the applicable Apple purchase process. The Publisher will provide updates and remedies required by applicable law and honor commitments in the offer. Other future features, integrations and support for future operating systems are not promised unless expressly stated. Any separately licensed upgrade must disclose its terms before acceptance. An existing perpetual license will not be converted into a subscription merely by changing this EULA. 4. Your projects and generated applications As between you and the Publisher, you retain your rights in your own source code, layouts, data, assets and other original project material. Using McBasic does not give the Publisher ownership of that material. Your rights in AI output and third-party material remain subject to the applicable law and provider or third-party terms. You may freely distribute applications you create with McBasic for noncommercial purposes without paying McBasic royalties. Commercial distribution is permitted only while you hold an active McBasic subscription or a valid perpetual McBasic license covering the version used. Neither form of distribution attracts a per-copy fee, revenue share or royalty payable to the Publisher. Your IDE license price is separate from these royalty-free distribution rights. Commercial distribution includes selling or licensing an application for payment, supplying it as part of paid client work or a paid service, monetizing it through subscriptions, in-app purchases or advertising. Providing an application free of charge does not make monetized or paid-client distribution noncommercial. These requirements apply to you as the developer or distributor; your customers and other end users need no McBasic IDE license to use an application lawfully supplied to them. The same distribution rules apply to plugins you create with McBasic. You retain the right to choose the license for your own project material and need not publish your own source code solely because you used McBasic. Separate dependency licenses can impose their own obligations. Subject to the commercial-entitlement requirement above, the Publisher grants a worldwide, nonexclusive, royalty-free license to copy and distribute the Publisher-owned runtime object code that McBasic's supported build or publication workflow includes in your application or plugin, solely as an integrated part needed to run that application or plugin. This includes the applicable McBasic.Runtime, McBasic.Runtime.UI and McBasic.ComponentSdk binaries. Your distributors may distribute those same integrated components, and recipients may install, copy as needed for permitted use, and execute them with your application or plugin. An authorized reseller distributing your application on your behalf relies on your commercial entitlement; it does not need a separate IDE license solely to act as your reseller. This permission does not authorize separate distribution of McBasic's IDE, compiler, debugger or development toolchain, or a standalone runtime product. It does not relicense third-party libraries or native components: section 5 governs those components, including independently licensed portions of a McBasic-modified component. Preserve accompanying copyright and license notices. Expiry or termination of your IDE entitlement does not revoke runtime-use rights already granted with lawfully supplied applications or plugins. Their recipients may continue using those copies, including for business purposes, without a McBasic subscription or perpetual license. This also preserves use of your own lawfully deployed internal copies. Expiry does not remotely disable those applications or create royalties on past lawful distributions. Unless you hold a valid perpetual license covering the version used, after your subscription ends you must stop new commercial sales, licensing and distribution, including new copies of previously built applications, until you renew or obtain that perpetual license. Distribution of existing builds for noncommercial purposes remains permitted. This does not promise access to paid IDE features after expiry. Independent third-party rights are unaffected. The Publisher also permits you to adapt and include Publisher-owned starter code and templates supplied for incorporation into your projects, under the same royalty-free principle, unless an accompanying separate license governs them. This does not grant rights to republish the documentation or use the McBasic brand as your own. You are responsible for your application's functionality, testing, lawful content, required permissions, distribution arrangements and customer support. A successful build, local publication or plugin conformance check does not constitute a security audit, legal clearance, signing, notarization or store approval. The Publisher remains responsible for its own obligations and for defects in McBasic to the extent required by law. 5. Third-party software and plugins McBasic and its generated applications can include independently licensed software. Applicable notices and license texts identify those components. Their terms govern your rights in them and prevail over conflicting provisions of this EULA for those components, including any open-source rights to inspect, modify, redistribute or obtain source code. A plugin or dependency you add can carry additional license, attribution, distribution and service requirements. Review these before use or distribution. McBasic's ability to load or build with a component is not permission from its copyright owner. You must comply with the applicable third-party agreements for components and services you use with McBasic. 6. Restrictions and lawful exceptions Except for the permissions in sections 4 and 5, the applicable Apple Usage Rules, or rights protected by law, you may not redistribute, rent, sublicense or sell copies of McBasic itself, remove its ownership notices, or bypass controls governing access to paid features. You may not use McBasic to infringe another person's rights or violate applicable law. Modification, reverse engineering and decompilation of proprietary McBasic components require the Publisher's permission except where the law permits them. Nothing here removes mandatory rights concerning backup, observation, study, testing, error correction or interoperability, or permissions granted by an open-source license. These restrictions do not prohibit working on your own source code or applications. 7. Optional AI functionality Where available in your edition, AI assistance uses the provider and settings you select. A provider may require a separate installation, account, entitlement or payment. Buying McBasic does not include third-party AI credits or services unless the purchase offer expressly says so. When you initiate or authorize AI work, your instructions, conversation and the project context or attachments included in that work may be processed by the selected provider. Review the displayed context and provider settings. An authorized workflow can involve follow-up requests and, depending on your settings, automatic application of proposed changes. Do not submit material you lack permission to share. Provider processing, retention and use of data are governed by that provider's terms and privacy information; this EULA does not promise that all providers process data locally or retain nothing. AI output can be incorrect, incomplete, insecure or similar to others' work. Review and test changes before relying on them or distributing an application; check licenses, permissions and sensitive data. AI output is not a guarantee of correctness, exclusivity, ownership or freedom from third-party rights. These limitations do not remove remedies for McBasic's failure to meet its contractual or statutory obligations. 8. Privacy and user-authorized operations The Application Privacy Notice identified above describes the Publisher's processing of personal data. Apple and independently selected service providers publish their own notices. This EULA is not consent to optional telemetry, advertising, model training or unrestricted transmission of your projects. When using file, database, network, plugin or AI features, you are responsible for the access you authorize and for reviewing your project's effects on data and external systems. Keep appropriate backups before running untrusted code or changing important data. This responsibility does not release the Publisher from obligations imposed by law. 9. Support Use the contact details above for support, questions and complaints. Include the McBasic version and a concise description of the issue; avoid sending passwords, credentials or unnecessary personal or confidential information. No response-time commitment or custom development service is included unless the Publisher expressly offers one. This does not restrict mandatory support, updates or remedies. 10. Conformity, warranties and consumer rights Nothing in this EULA waives rights that applicable law makes mandatory. These include, where applicable, conformity and security-update obligations and rights to repair or other correction, price reduction, termination or refund. The features, compatibility and commitments stated in the applicable purchase offer remain relevant to those obligations. Beyond those obligations and any express warranty, the Publisher does not promise uninterrupted or error-free operation, suitability for every intended project, or acceptance of generated applications by a distribution platform. You remain responsible for evaluating whether your project is suitable for its intended use. No general statement in this EULA makes you bear costs that the law requires the Publisher to bear. 11. Liability Nothing in this EULA excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury resulting from negligence, or deliberate misconduct or gross negligence where exclusion or limitation is prohibited. Nor does it exclude or limit any other liability, consumer right or remedy that applicable law does not allow the parties to exclude or limit. Subject to the preceding paragraph and to the maximum extent permitted by applicable law, the Publisher's total aggregate liability to you arising out of or in connection with McBasic or this EULA shall not exceed the total amount actually paid by you for McBasic. This amount includes the price paid for the McBasic license and any McBasic subscription payments; it does not include amounts paid for independent third-party products or services. This is one overall limit for all claims in aggregate, not a separate limit per claim, incident or legal basis. That limit applies to all losses, damages, claims, costs and expenses, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, including claims arising from use of or inability to use McBasic. No liability beyond that amount is accepted where the limitation is lawful. The limit does not reduce any mandatory refund, repair, replacement, price reduction or other remedy, and does not apply to the liabilities reserved in the first paragraph of this section. Where applicable law requires a limitation to be reasonable or fair, it applies only to the extent it meets that requirement. For business users only, and only where lawful, the Publisher excludes liability for indirect or consequential commercial losses, including lost profits or business interruption. This exclusion does not apply to a consumer's mandatory remedies and remains subject to the first paragraph of this section. 12. Legal and export compliance You must follow applicable export, import and sanctions laws. You represent and warrant that you are neither in a country under a U.S. embargo or designated by the U.S. government as supporting terrorism, nor on a U.S. prohibited or restricted party list. Do not export, transfer or use McBasic where legally prohibited. 13. Termination You may stop using McBasic at any time. Uninstalling it does not itself cancel an Apple-managed subscription; if applicable, cancel through your Apple account. The Publisher may terminate your license for a material breach of this EULA, subject to applicable law. Where the breach can be remedied, the Publisher will give written notice and at least 30 days to remedy it before termination. No notice period is required where continued licensing would be unlawful. After termination, stop using McBasic and remove its proprietary development tools. You retain your own project material. The surviving recipient-use and noncommercial redistribution rights in section 4, independent third-party licenses and accrued claims or mandatory refund rights are unaffected. Termination does not authorize the Publisher to delete your projects or remotely disable your distributed applications. New commercial distribution requires the entitlement specified in section 4. 14. Changes and disputes An updated EULA must be made available with its effective date. Material changes require the notice and acceptance required by applicable law; merely posting a new text does not retrospectively withdraw rights already granted for lawfully distributed applications or remove mandatory remedies. Subject to mandatory applicable law, the courts of Singapore shall have exclusive jurisdiction over any dispute or claim arising out of or in connection with McBasic or this EULA, including its formation, validity, interpretation, performance or termination. You and the Publisher submit to that jurisdiction. This forum clause does not deprive consumers of any right to bring proceedings in their place of residence, or any other court, where applicable law guarantees that right. It does not permit proceedings against a consumer in a court where applicable law prohibits them. Mandatory consumer protections, remedies and rights to collective or representative proceedings remain unaffected. Applicable law is determined by the rules that legally apply to this agreement; the choice of courts above is not a separate choice of governing law. If a provision is unenforceable, the rest continues only insofar as lawful and capable of operating without it. A translation does not reduce mandatory local-language or consumer protections. 15. Apple provisions This agreement binds you and the Publisher; Apple is not a contracting party. McBasic and its content are solely the Publisher's responsibility. Apple owes no maintenance or support. The Publisher alone provides promised or legally required maintenance, support and warranties not validly excluded. If McBasic breaches an applicable warranty, you may notify Apple; Apple will refund its purchase price. Beyond that refund, Apple has no warranty duties insofar as lawful; the Publisher alone bears remaining warranty-related claims, losses, liabilities, damages, costs and expenses. The Publisher alone, rather than Apple, addresses claims by you or third parties about McBasic or its possession or use, including product liability, regulatory compliance, consumer protection and privacy. For third-party intellectual-property infringement claims concerning McBasic or its possession or use, the Publisher alone handles investigation, defense, settlement and satisfaction of the claim. Apple and its subsidiaries are third-party beneficiaries. Upon your acceptance, Apple acquires, and is deemed to accept, the right to enforce this EULA against you as a beneficiary. The Apple Usage Rules applicable on the effective date prevail over inconsistent usage restrictions here. 16. Trademarks Visual Basic is a trademark of Microsoft Corporation. McBasic is an independent product and is not affiliated with, sponsored by or endorsed by Microsoft. Other product names and trademarks belong to their respective owners. A reference to another product does not promise full language compatibility or imply endorsement.
